Terms of Service
1. Acceptance
By accessing our website, registering, logging into the member portal or app, or continuing to use digital services after notice of these Terms, you agree to be bound by them. If you do not agree, do not use the digital services. Membership rights and obligations under the co-operative constitution and by-laws continue to apply whether or not you use digital channels.
2. About Soyosoyo SACCO and Nichomez
Soyosoyo SACCO is the co-operative that provides savings, credit, and related member services. Nichomez provides software platforms that Soyosoyo may use to deliver digital access. Nichomez is a technology provider; it is not your bank, mobile-money operator, or a substitute for SACCO governance. Financial decisions (approvals, disbursements, dividends, suspensions, exits) remain with Soyosoyo under its rules.
3. Eligibility and membership
- You must be eligible under Soyosoyo’s constitution and by-laws and able to enter binding contracts under Kenyan law.
- Registration and fee payment do not by themselves create unrestricted rights; activation, KYC, and official acceptance may be required.
- You must keep registration and profile data accurate and update them promptly.
- Membership conduct, contributions, share capital, risk fund, meetings, and discipline are governed primarily by the SACCO’s constitution and by-laws and lawful resolutions of its organs.
- Digital status labels (active, suspended, exited) reflect SACCO policy and system rules; disputes are resolved through SACCO channels first.
4. Accounts, security, and acceptable use
You are responsible for safeguarding login credentials, OTPs, device locks, and any biometric unlock you enable. Notify us immediately of unauthorised access. You agree not to:
- share accounts, scrape systems, reverse-engineer apps beyond what law allows, or probe for vulnerabilities without authorisation;
- upload malware, spam, or unlawful content;
- impersonate others, submit false KYC or loan information, or interfere with other members’ accounts;
- use the services for money laundering, fraud, or other illegal activity;
- bypass access controls or attempt to access data you are not entitled to see.
We may suspend digital access to protect the SACCO, other members, or systems, without waiving other remedies under the by-laws.
5. Website and public tools
Public pages, calculators, charts, and JSON snapshots are informational. They are not financial advice, a prospectus, or a guarantee of loan approval, dividend amounts, or investment returns. Figures may lag, be estimated, or be revised. Always confirm important decisions with official statements and SACCO officers.
6. Payments and third-party rails
Deposits, withdrawals, STK pushes, paybill / till payments, and bank transfers rely on third parties (e.g. Safaricom M-Pesa, KCB and other banks). Those providers’ terms apply to their services. Soyosoyo is not liable for their outages, delays, wrong-number payouts you caused, or network failures, except to the extent required by law or where we failed to follow our own confirmed processes after funds were properly received and identified.
You must use correct account references. Misdirected payments may take time to locate; we will use reasonable efforts to investigate when you provide timely evidence.
7. Loans, savings, wallet, and standing orders
Loan applications are subject to the Loan Application Terms, product rules, qualification algorithms (estimates only), guarantor requirements, and available SACCO liquidity. Savings, invoices, wallet sweeps, family standing orders, and dividend credits follow SACCO policy and system rules disclosed in-app or by officials. Displayed balances and outlook figures can change with postings, reversals, and policy updates.
8. Intellectual property
Website content, branding, and software interfaces are owned by Soyosoyo, Nichomez, or their licensors. You receive a limited, revocable, non-exclusive licence to use the member apps for personal membership purposes. You may not copy, resell, or commercially exploit the platform without written consent.
9. Privacy
Personal data is handled under our Privacy Policy, Kenya’s Data Protection Act, 2019, and our duty of care to members. By using digital services you acknowledge that processing described there is necessary for membership and credit operations.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW, DIGITAL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. We do not warrant uninterrupted, error-free, or completely secure operation. Qualification scores, auto-disburse estimates, dividend outlooks, and dashboard metrics are decision-support tools, not warranties of outcome.
11. Limitation of liability
To the maximum extent permitted by law, Soyosoyo SACCO, its officials acting in good faith within authority, and technology providers acting as processors:
- are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, data loss beyond reasonable restoration efforts, or business interruption);
- are not liable for third-party payment-rail failures or force-majeure events;
- limit aggregate liability arising from digital-service use in any twelve-month period to the greater of (a) fees you paid specifically for optional digital convenience features in that period (if any), or (b) Kenya Shillings ten thousand (KES 10,000)—except where liability cannot be limited (e.g. fraud, wilful misconduct, or death/personal injury caused by negligence where such limits are void).
Nothing in these Terms excludes liability that cannot legally be excluded, or members’ statutory rights as co-operative members regarding properly held share capital and deposits under governing law and by-laws.
12. Indemnity
You agree to indemnify, defend, and hold harmless Soyosoyo SACCO, its board, officials, employees, agents, and service providers (including Nichomez) from and against claims, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your breach of these Terms, the Loan Terms, or the Privacy Policy;
- your breach of the constitution, by-laws, or credit policies;
- false, misleading, or incomplete information you submit;
- unauthorised use of your account due to your negligence;
- your misuse of the website, portal, or apps;
- disputes between you and guarantors, beneficiaries, or third parties you introduce into standing orders or payouts, except to the extent caused by our proven wilful misconduct.
13. Suspension, exit, and account deletion
We may suspend digital access for security, arrears policy, abuse, or legal reasons. Membership exit / cessation follows by-laws and approved processes and may differ from deleting an app login. See Account deletion for Google Play–aligned digital deletion requests. Deleting an app account does not automatically extinguish loans, guarantees, or contribution obligations.
14. App stores (including Google Play)
If you download our Android app from Google Play, you also comply with Google’s terms and policies. Google is not a party to your membership contract with Soyosoyo. In-app billing, if ever used, would follow store rules. We provide required public legal URLs (Privacy, Terms, deletion) for store listing compliance.
15. Changes
We may update these Terms. Material changes will be signalled by updating the effective date and, where appropriate, in-app or SMS notice. Continued use after the effective date constitutes acceptance, except where consent is legally required.
16. Governing law and disputes
These Terms are governed by the laws of Kenya. Disputes should first be raised with Soyosoyo officials / internal dispute mechanisms under the by-laws. Thereafter, disputes may proceed under the Co-operative Societies Act framework and Kenyan courts with competent jurisdiction, without limiting mandatory consumer or data-protection remedies.
